Terms of Service
These terms are effective as of February 1, 2024.
Welcome to the Terms of Service of our platform that is being run by Compass solutions d.o.o., being headquartered at Savska cesta 106, Zagreb, Croatia (hereinafter referred to as “Compass”). The Terms of Service (the “Terms”) you see laid out before you describe your rights and responsibilities when using our platform for smart finance management for small and medium businesses.
Please read these Terms carefully before using the service.
By accessing the service, registering on the service or by using the contents of the service, you enter a contractual relationship with Compass and confirm you have read, understood, and accepted these Terms.
You cannot use our Services if you do not accept these terms.
In case of any conflict between these Terms and any individual agreement concluded between you and Compass, the terms of these Terms shall prevail.
Definition of Terms
When we say “Compass”, “Company”, “we”, “our”, or “us” in this document, we are referring to Compass.
When we say “Services”, we mean any product, website or application created and maintained by Compass. That includes any instance of Compass, whether delivered within a web browser, desktop application, mobile application, or another format. You cannot use our Service for any kind of payment.
When we say “User” or “Organization”, we mean any person and/or company that is using Compass to fulfill their business needs.
When we say “Intellectual Property”, we mean any patent, trademark, trade name, business name (including domain names and URLs), copyright and related rights, database right, registered and unregistered design right or other intellectual or industrial property protection and any application for such protection, and all rights in any secret process, know-how and inventions (whether patentable or registrable or not) or other confidential information in each case whether registered or unregistered and including applications for the grant of such rights and all other rights or equivalent forms of protectionanywhere in the world.
Registration
Subject to the Terms, you are hereby granted a nonexclusive, limited, non-transferable, freely revocable license to use the Service for the non-commercial use of your Company only and as permitted by the features of the Service.
To use Compass as a User, you will need to create an account. When you are setting up your Compass account, you will be asked to provide an email and password. If you are setting up an account for your company, you will be asked to provide your company name.
You are responsible for the accuracy and validity of the data submitted during the registration. You are responsible for maintaining the security of your account and password. Compass cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
You are responsible for all content posted and activity that occurs under your account. This includes content posted by others who either: (a) have access to your login credentials; or (b) have their own logins under your account.
By registering to use the account, you warrant and confirm that you are of legal age and authorised to do so and that you do not violate the regulations and/or other orders of the competent authorities of the state whose laws apply to your rights and obligations. Otherwise, you are liable for damages that may occur due to unauthorised use of the Service.
You must be a real human being. Accounts registered by “bots” or using other automated methods are not permitted and are subject to immediate termination of the Service.
When creating the account, Compass verifies and checks the identity of the User and has the right to request from the User valid identification documents and data, as well as perform additional checks of the User and the account in accordance with the relevant regulations and internal policies.
The User is obliged to notify Compass of any change in personal data or change of identification document without delay and, upon request, provide a new identification document for inspection and repeat the identity verification. The User may open only one account, which must be in the User’s name. The User may not open an account under his/her own name for a third party and/or open an account that will be used for the needs of a third party. The User is not authorised to transfer the account to a third party, nor allow a third party to use the account in any way, and any action contrary to this provision will be considered misused, whereby the User is liable to Compass for all damages, and
Compass reserves the right to temporarily or permanently block the account or terminate the contractual relationship immediately. The User bears all responsibility in case of unlawful use of the account. Compass reserves the right to refuse or cancel any Service at any time at our sole and absolute discretion.
Pricing, Payments, and Cancellations
Your use of Compass is free in “Free plan”.
When upgrading your account to a paid plan, we will charge your card immediately and your billing cycle starts on the day of upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.
You are responsible for enabling your card to be charged while using the Services.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all taxes, levies, or duties.
In general, we are pretty flexible with refunds, and we offer them on a case-by-case basis. If you want a refund, get in touch with us via our support channels and we will discuss the terms of your refund.
If you cancel the Service before the end of your current paid up month or year, your cancellation will take effect immediately, and you will not be charged again. We do not automatically prorate unused time in the last billing cycle. You will continue to enjoy the benefits of the paid plan until the end of your current billing cycle.
All fees charged by Compass in connection with the the Services are listed on Compass’s website under _____. Sometimes we change the pricing structure for our Services. When we do that, we tend to exempt existing customers from those changes. However, we may choose to change the prices for existing customers. If we do so, we will give at least 30 days notice and will notify you via the email address on record. We may also post a notice about changes on our websites or the affected Services themselves. You are free to decide whether you will continue to use the Services under new financial conditions or not.
Any fees owed to us by Customer (excluding amounts disputed reasonably and in good faith) are thirty (30) days or more overdue, we may, without limiting our other rights and remedies, block access to our Services until those amounts are paid in full, so long as we have given Customer ten (10) or more days’ prior notice that their account is overdue.
Termination
Compass or the User may terminate the account of the User and/or Organization on notice to the other party if the other party materially breaches the Terms and such breach is not cured within thirty (30) days after the non-breaching party provides notice of the breach.
Organizations are responsible for their Users, including for any breaches of these Terms caused by its Users. We may terminate the contractual relationship immediately on notice to User if we reasonably believe that the Services are being used by the Organization or its Users in violation of applicable law.
During the subscription term and any renewal terms, you may choose to cancel your subscription early. However, in this case we will not provide any refunds, and you will promptly pay all unpaid fees due at the end of the subscription term. Upon any termination for cause by the User, we will refund the User any prepaid fees covering the remainder of the term of all subscriptions after the effective date of termination.
Upon any termination for cause by Compass, Customer will pay any unpaid fees covering the remainder of the term of those subscriptions after the effective date of termination, i.e. we will be entitled to keep all prepaid fees. In no event will any termination relieve the Customer of the obligation to pay any fees payable to us for the period prior to the effective date of termination.
Compass is entitled, in its sole discretion, to suspend your account or its Services in the event of reasonable grounds, if you fail to properly fulfil its obligations under these Terms or you act in a way contrary to the applicable laws. In that case Compass shall notify you thereof within five (5) business days following the suspension. If for the purpose of determining the continuation of the Services and your account you do not provide complete and accurate information in response to such a request, Compass may refuse to restore your access to the Service.
The right to extraordinary termination shall remain unaffected by such suspension. The suspension or deletion of accounts shall not entitle to any claims for compensation, damages or reimbursement.
Intellectual Property and Content Ownership
Except for your User content, the Service and all materials therein or transferred thereby, including, without limitation, software, software code, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Compass. Except as explicitly provided herein, nothing in this Terms will be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify,distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Compass’s content. Use of Compass’s content for any purpose not expressly permitted by this Terms is strictly prohibited.
We claim no intellectual property rights over the material you provide to the Services. All materials uploaded remain yours.
We do not pre-screen content, but reserve the right (but not the obligation) in our sole discretion to refuse or remove any content that is available via the Service.
The names, look, and feel of the Services are intellectual property of Compass. All rights reserved. You may not duplicate, copy, or reuse any portion of code, or visual design elements without express written permission from Compass. You must request permission to use Compass’s logo or any Service logo for promotional purposes. Please email us to request the use of logos. We reserve the right to rescind this permission if you violate these Terms.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without the express written permission by Compass.
You must not modify another website so as to falsely imply that it is associated with the Services or Compass.
Compass reserves the right to terminate the Services immediately in case you violate these Terms regarding the Intellectual Property and Content Ownership rules.
Uptime, Security and Privacy
For all of our services, Compass will use any and all commercially reasonable efforts to make sure that all of our services are available 24 hours a day, 7 days a week, 365 days a year (+ the one leap day here and there) excluding any planned downtime. We do not expect to have frequent planned downtimes, but we will always make sure to provide all of our Users with advance notice if we expect the downtime to last more than ten (10) minutes.
We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the Services. Of course, we’ll reach out to the account owner before taking any action except in rare cases where the level of use may negatively impact the performance of the Service for other customers.
We take many measures to protect and secure your data through backups, redundancies, and encryption. We enforce encryption for data transmission from the public Internet.
At Compass, we deeply value the trust you place in us, and we are committed to ensuring that your privacy and confidentiality are our top priorities. Your privacy is protected in accordance with our Privacy Policy
Liability
You acknowledge and agree that used technologies may be subject to bugs, malfunctions, timing errors, hacking and theft, which can adversely affect you and may expose you to a risk of total loss of information.
The Service is provided on an “as is” and “as available” basis. Use of the Service is at your own risk. To the maximum extent permitted by applicable law, the service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Any content downloaded or otherwise obtained through the use of the service is downloaded at your own risk and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from such download or your use of the service.
You expressly understand and agree that the Compass shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to this Terms of Service or the Services, whether as a breach of contract, tort (including negligence whether active or passive), or any other theory of liability.
If the Service provides professional information (for example, professional referrals, tutorials, guides, etc.), such information is for informational purposes only and should not be construed as professional advice. No action should be taken based upon any information contained in the Service. You should seek independent professional advice from a person who is qualified in the applicable area.
You agree to defend, indemnify and hold harmless Compass and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, penalties, fines or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service, including any data or content transmitted or received by you; (ii) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule or regulation; (v) any claim or damages that arise as a result of any of your user content or any that is submitted via your account; or (vi) any other party’s access and use of the Service with your unique username, password or other appropriate security code.
Publicity
By being one of our customers, the User grants Compass the right to use their company name and logo as a reference for marketing or promotional purposes on our website and in other public or private communications with our existing or potential customers. If you do not wish to be used as a reference, we will respect your decision. Make sure you reach out to us via email and request the removal of your organization as our reference.
Force Majeure
Neither Compass nor the User will be liable by reason of any failure or delay in the performance of its obligations on account of events beyond the reasonable control of a party, which may include denial-of-service attacks, a failure by a third party hosting provider or utility provider, strikes, shortages, riots, fires, acts of God, war, terrorism, and governmental action.
Jurisdiction and governing law
You agree that all matters relating to your access to or use of the Service, including all disputes, will be governed by the laws of the Republic of Croatia. In case of any dispute with Compass, please contact us in order to try to solve this dispute amicably. If this is not possible, the competent court will be in Zagreb, Croatia.
Update to the Terms
Compass may update these Terms from time to time in response to legal, technical, or business developments. When we update the Terms of Service, we will take appropriate measures to inform you consistent with the significance of the changes we make. You can see the date these terms were last updated at the top of this page.
